William R. Fitzgerald

Chairman of the Board of Ascent Capital Group, Inc.

Bill Fitzgerald has served as Chairman of the Board of Ascent Capital Group, Inc., since September 2008. He served as Chief Executive Officer of Ascent Capital Group, Inc., from September 2008 to April 2018. He was named Chairman of Ascent Media Group, the predecessor company, in August 2000. He also served as Senior Vice President of Liberty Media Corporation from 2000 through 2012. While with Liberty Media, Bill served to evaluate media and technology related investment and acquisition opportunities in addition to overseeing several of its assets. Most recently he served as a director of Expedia, Inc., from 2006 through 2012, TripAdvisor, Inc., from 2011 until 2013, and previously served as Chairman of On Command Corporation, and as a director of Game Show Network, True Position, and Cablevision Systems Corp. Bill has served as a director of the Piper Jaffray Companies since March 2014.

Bill was previously Executive Vice President and Chief Operating Officer for AT&T Broadband, formerly known as Tele-Communications, Inc. (TCI), where he oversaw the company's broadband services operations. Before that he was Executive Vice President of Corporate Development and Partnership Relations for TCI, where he managed the company's M&A strategies and transactions, as well as the company's cable partnership and joint ventures. Bill joined TCI in March of 1996 as Senior Vice President and head of Corporate Development. Prior to TCI, Bill was a Senior Vice President and partner at Daniels & Associates, an investment banking firm to the communications industry. He began his career as a commercial banker at The First National Bank of Chicago.

Bill received an undergraduate degree from Indiana University School of Business and a master's degree in finance and marketing from the Kellogg School of Business at Northwestern University.

Jeffery Gardner

Chief Executive Officer of Monitronics International, Inc.

Jeffery Gardner was appointed Chief Executive Officer of Monitronics in September 2015. Jeff brings over 25 years of experience in the telecommunications industry and has specific expertise in the areas of operations management, strategic development, finance, accounting and financial reporting. Most recently, Jeff served as President and Chief Executive Officer of Windstream Holdings, Inc. where he led the acquisition of nine entities since 2006 with a combined value of over $5 billion. He previously served as Executive Vice President and Chief Financial Officer of Alltel Corporation where he oversaw the Company's financial operations and spent his early career at 360 Communications, holding various executive positions in the Company.

Jeff currently serves on the Board of Directors for CalAmp Corporation and the Qorvo Corporation, where he is also Chairman of the audit committee. From 2006 through February 1, 2015, he also served on the Board of Directors for Windstream Corporation. From 2012-2013, he served as Chairman of the United States Telecom Association.

Jeff received a Bachelor's degree in finance and accounting from Purdue University and holds an MBA from the College of William & Mary.

William E. Niles

Chief Executive Officer, Executive Vice President & General Counsel, Ascent Capital Group, Inc.

William E. Niles was appointed Chief Executive Officer of Ascent Capital Group, Inc., in April, 2018. Mr. Niles has also served as Executive Vice President and General Counsel of Ascent Capital Group, Inc., formerly Ascent Media Corporation since the spin-off of the company from Discovery Holding Company in September 2008. He also served as Executive Vice President and General Counsel of Ascent Media Group (“AMG”) from January 2002 until the sale of AMG on December 31, 2010. From August 2006 through February 2008, Mr. Niles was a member of AMG’s executive committee. Prior to 2002, Mr. Niles was a senior executive handling legal and business affairs within AMG and its predecessor companies, was an associate at the international law firm of Baker and McKenzie as an associate and a partner with Stein and Kahan.

Mr. Niles completed his undergraduate degree at the University of Southern California and received his law degree from Georgetown University Law Center.

Fred Graffam

Senior Vice President and Chief Financial Officer of MONI Smart Security and Ascent Capital Group, Inc.

Fred Graffam joined MONI in October 2017 with over 25 years of financial management and accounting experience. Fred brings to the team strong financial experience and a background in the technology and telecom industries to help accelerate MONI’s transformation.

Prior to joining MONI, Fred served as Senior Vice President of Finance for DigitalGlobe, Inc. During his tenure with DigitalGlobe, Fred served in various capacities including leading the Financial Planning and Analysis, Investor Relations and M&A functions.

Prior to his time at DigitalGlobe, Fred served as Senior Vice President of Finance – North America and Asia Pacific for Level 3 Communications from 2012 to 2013. Before Level 3, he spent 17 years with Comcast Corporation, serving as Senior Vice President of Comcast’s DC and Baltimore Region and as Senior Vice President -Finance, West Division during his tenure. He began his career in public accounting with Deloitte.
